Terms of Service

Introduction

Welcome to Cleve, and thank you for using our product. These Terms of Service ("Terms") are a binding agreement between you and Cleve Sdn. Bhd. (Reg: 202301049149) ("Cleve", "we", "us"). They govern your access to and use of Cleve's apps, websites, and services (the "Services"). By using the Services, you agree to these Terms and our Privacy Policy.

You must be at least 18 years old to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

TL;DR

• You own your content and your AI output. We assign all rights in AI-generated output to you. We never sell your content, share it for advertising, or use it to train AI models.
• Use Cleve responsibly. Don't use it for illegal, harmful, or abusive purposes.
• AI output can be wrong. Always verify before acting on it for anything important.
• Subscriptions auto-renew. You can cancel anytime from your account settings before the next billing cycle.
• Close your account anytime. Your data is deleted within 30 days of closure.

Your Account

You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@cleve.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

Business & Org Accounts

If you access Cleve using an email address assigned to you by your employer or other organization, or if you join an organization's workspace, that organization is considered the "Customer" under these Terms.

The Customer may claim control of the workspace and gain access to the data you store there, including any private notes. Your agreement or legal relationship with that organization might affect:

• Who owns the data or content that you submit or upload through your account.
• The conditions under which you may access your account or when your account may be disabled.
• Who may access, export, or delete the data in your account.

If you want to keep your personal notes strictly private, you should access Cleve for personal use by signing up with your personal email address. You are welcome to maintain separate personal and organizational accounts.

Acceptable Use

You agree not to:

• Use the Services for any unlawful, harmful, deceptive, or abusive purpose.
• Record or transcribe audio without obtaining all necessary consents required by applicable law.
• Infringe the intellectual property rights of others.
• Reverse engineer, scrape, or use automated means to access the Services beyond what is explicitly permitted.
• Attempt to overload, disrupt, or circumvent the security or access controls of the Services.
• Use the Services or any AI-generated output to train competing AI models or build competing services without our prior written consent.
• Use AI output as the sole basis for decisions with significant legal or medical consequences without appropriate human review.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We may suspend or terminate access for violations of this policy at our discretion, without prior notice.

Your Content & AI Output

You own your content. You retain all right, title, and interest in content you create, upload, or provide ("User Content"). Cleve hereby assigns to you all of its right, title, and interest, if any, in and to any AI-generated output you receive through the Services ("Output"). You own your Output.

By using the Services, you grant Cleve a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your User Content solely as necessary to provide the Services, ensure security, and prevent abuse.

We do not train on your content. Neither Cleve nor our AI providers use your User Content or Output to train AI models. See our Privacy Policy for details.

You are responsible for ensuring you have the rights to provide any content you upload. Output may be inaccurate or incomplete. Review it before relying on it for important decisions.

Feedback

If you choose to submit ideas, suggestions, or comments about the Services ("Feedback"), you grant Cleve a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that Feedback into the Services or any other products without restriction or compensation to you. Feedback does not include your User Content or Output.

AI Features

Cleve uses large language models and other AI services to power features including writing assistance, search, and summarization. When you use these features, relevant context from your request is sent to AI providers to generate a response. All AI calls are routed through our secure gateway with Zero Data Retention. Providers do not retain your prompts or outputs after returning a response.

AI-generated output can be wrong, outdated, or misleading. Do not use Output as the sole source for legal, financial, medical, or other professional advice. You are responsible for verifying Output before acting on it.

Billing & Subscriptions

Some features require a paid subscription. Prices and billing cycles are shown at checkout and include applicable taxes. Subscriptions automatically renew at the then-current price unless you cancel before the renewal date via your account settings.

We may change pricing with reasonable advance notice. Price changes take effect on your next billing cycle. Payments are processed by Stripe and we never store your full card details. Subject to applicable law, fees are non-refundable except where stated otherwise or legally required.

Termination

You may stop using the Services and close your account at any time. Upon account closure, your data is deleted within 30 days (see our Privacy Policy).

We may suspend or terminate your access if you violate these Terms, if necessary to protect the Services or other users, or where required by law. Provisions intended to survive termination will continue in full force. This includes content ownership, disclaimers, limitations of liability, and governing law.

Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cleve, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services in violation of these Terms; (b) your User Content, including any claim that it infringes, misappropriates, or violates a third party's intellectual property or other rights; or (c) your violation of any applicable law or regulation.

Cleve reserves the right to assume exclusive control of any matter otherwise subject to indemnification by you, at its own expense. You agree to cooperate with Cleve's defense of such claims and not to settle any such claim without Cleve's prior written consent.

Disclaimers & Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate or reliable.

To the maximum extent permitted by applicable law, Cleve and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services. Our total liability for all claims in any 12-month period will not exceed the amounts you paid to Cleve for the Services in that period.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Governing Law

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles. You and Cleve submit to the exclusive jurisdiction of the courts of Malaysia for any dispute arising out of or relating to these Terms or the Services.

Changes

We may update these Terms from time to time. For material changes, we will provide reasonable advance notice via the app or email. The updated Terms will take effect on the stated date. Your continued use after the effective date constitutes acceptance of the revised Terms.
